Terms of Service

1. Services

We provide web design and development services including, but not limited to, landing pages, business websites, e-commerce stores, web applications, SEO optimisation, and ongoing maintenance and support.

The specific deliverables, timeline, and pricing for each engagement are defined in a separate project scope or contract agreed upon before work begins. These Terms of Service apply alongside any such contract; in the event of a conflict, the project contract takes precedence.

2. Payment Terms

Unless otherwise agreed in writing, the following payment structure applies:

• 50% deposit is required upfront before work commences
• 50% final payment is due upon project completion, prior to final delivery or site launch

Invoices are payable within 7 days of issue unless a different payment schedule has been agreed in the project contract. Overdue invoices may incur a late payment fee and work may be paused until outstanding balances are settled.

All prices are quoted in USD unless otherwise stated. We accept payment via bank transfer, Stripe, or other methods as agreed.

3. Intellectual Property

Upon receipt of final payment, all custom code and design assets created specifically for your project are assigned to you. You retain full ownership of your content (text, images, branding) at all times.

We retain the right to display the completed project in our portfolio and case studies unless you explicitly request otherwise in writing before project completion.

Third-party libraries, frameworks, and assets (such as open source packages or licensed stock imagery) remain subject to their own respective licences. We will advise you of any such dependencies as part of the project scope.

4. Project Delivery

Estimated delivery timelines are provided in good faith and are based on the project scope agreed at the outset. Timelines may be affected by:

• Delays in receiving content, assets, or feedback from the client
• Changes to the project scope requested after work has begun
• Circumstances beyond our reasonable control

We will communicate any expected delays as early as possible and work with you to agree on a revised timeline where necessary.

5. Revisions

Each project includes a number of revision rounds as specified in the project scope. Revisions within scope will be completed at no additional charge.

Requests for additional revisions beyond those included in the agreed scope, or changes that materially alter the original brief, will be scoped and billed at our standard hourly rate. We will always provide an estimate and obtain your approval before proceeding with additional billable work.

Major scope changes (i.e., additions that substantially expand the project) may require a new or amended contract.

6. Limitation of Liability

To the fullest extent permitted by law, SMVE Web Dev shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to the services provided, including but not limited to loss of profits, loss of data, or business interruption.

Our total liability for any claim arising under these terms shall not exceed the total amount paid by you for the specific project to which the claim relates.

7. Governing Law

These Terms of Service are governed by and construed in accordance with applicable law. Any disputes arising from these terms or your engagement with SMVE Web Dev shall be subject to the exclusive jurisdiction of the relevant courts. We will always endeavour to resolve any disputes amicably before resorting to formal proceedings.
